General Terms and Conditions

1. Prices

The prices refer to the equipment and work described in the order confirmation or in the contract for work and services. Services that are not listed in these documents will be invoiced separately. Prices are net, excluding VAT, free to the construction site, without unloading and packaging. Subject to special agreements.

2. Terms of payment

2.1 Mode of Payment

30% upon order
30% before delivery of the material to the construction site
30% after installation, 10 days strictly net
10% final invoice, 30 days strictly net

2.2 Partial Shipment

In the case of partial delivery, payments shall be made in accordance with the scope of the delivery. If the agreed installation date is postponed by the customer by more than three months, 80% of the invoice amount shall become due for payment.

2.3 Expired and non-paid Invoices

Payments due shall also be made if further work on the delivered system proves necessary.

3. Delivery period and consequences of delays

3.1 Delays

The delivery period should be specified as precisely as possible when the contract is concluded. This can only be adhered to if the necessary information and documents for planning are received by us in good time, if no changes are requested during order processing, if the customer makes the agreed payments on time, and if any necessary approvals from authorities are granted in good time. Furthermore, the delivery period must be extended without cost consequences if our production or that of a subcontractor is disrupted by force majeure or if, through no fault of our own, essential materials are delivered late or are defective. Any obligation to pay compensation as a result of delayed delivery and its consequences (e.g., temporary sheds) is excluded in all cases.

3.2 Penalties

We do not recognize contractual penalties as a matter of principle.

3.3 Costs and risks for storage

The costs and risk of storing materials that cannot be installed after the delivery period has expired through no fault of our own shall be borne by the customer.

4. Transport and handover

4.1 Storage area

Transport to the construction site is performed at our risk and our costs. The buyer is responsible for a suitable and dry storage area. He shall bear the costs for any support staff required for unloading. The risk for objects stored or assembled on the construction site shall be borne by the buyer.

5. Installation

5.1 Service on the part of the builder

Unless otherwise agreed, assembly costs are included in our prices. Pick work, masonry work, painting work as well as electrical work is to be performed by others and is not included. In addition, the buyer accept the costs for temporary support, for required scaffolding, for wiring, and for light and power. Our installers shall be provided with a lockable room for tools and small parts.

5.2 Notification of readiness

The “notification of readiness” form sent with our order confirmation must be signed and returned to us two weeks before the start of installation. If the preparatory work to be carried out on site has not been completed by the time the assembly team arrives, or if installation has to be interrupted through no fault of our own, the costs incurred by us as a result of the delay will be charged to the customer separately. Installation postponements or interruptions must be rescheduled by us and require an appropriate extension of the delivery period.

6. Liability

6.1 Damage to property

The legal liability for illness and accident of any kind by all executable works, including the provisional test run, is applicable for own personnel. For damage to property, unless rough misconduct is proven by our personnel, is in buyer's liability.

7. Examination and approval

7.1 Approval

Each object will be inspected before shipment. After work on site is completed (installation period), the buyer may inspect the installed object at his cost. If the buyer does not submit objections in writing within 14 days after completion of the installation, the object is considered as accepted.

8. Guarantee

8.1 Duration of guarantee and guaranteed sum

For the faultless functioning of a door system, the appropriate use and manufacture of raw material, as well as a professional installation, BATOR guarantees 1, respectively 2 years, depending of the type of work. The duration of the guarantee is defined in the order confirmation or in the contract of work and labor. The guarantee starts with the date of invoice and can optionally be secured by a bank or insurance guarantee of max. 10 % of the total contract volume. Guarantees in cash will not be accepted by BATOR.

8.2 Warranty

BATOR obliges itself to rectify and/or replace at its own costs all faults arising within the guarantee period through normal use and maintenance that are traceable to material quality, defective execution or design flaws. The duty for replacements does not extend to parts that are subject to regular erosion or wear. Any further liabilities are excluded.

8.3 Termination of guarantee

The guarantee terminates immediately and entirely when the ordering party itself or third parties perform changes or repairs on the door without our prior written approval. This includes all cases where BATOR can prove that the door has been erroneously or insufficiently maintained.

8.4 Finishing coat

System parts that are only primer coated must be finish coated three months after delivery at the latest. Otherwise BATOR cannot held responsible for any corrosion damage.

Automatic industrial door systems

9. General

9.1 Stages

The installation of an automated door system is carried out in two stages:
a) raw installation (door can be used as a manual door);
b) commissioning and handover.

9.2 Technical documentation

After technical clarification, BATOR establishes the wiring diagrams and provides them to the architect; the connection diagram is provided to the responsible electrician.

9.3 Instructions for performances by others

During the raw installation our technicians instruct, in the presence of a representative of the site management:
a) the electrician on how to install the power and control lines;
b) the mason on installing flush-mounted parts and contact strips in the ground.

10. Delivery and BATOR installation

10.1 Delivery of accessories

BATOR delivers the final drive units, the control units and all control devices indicated in the order confirmation such as contact stripes, light barriers (electric eyes), flexible cabling on the door, key switch, pull switch, push buttons, signal lamps, inductive loops, safety mats etc. All parts will be delivered to the site at the charge of BATOR.

10.2 Raw installation

Our raw installation includes fitting of drive units, laying of cables at the door including connection of the control devices attached on the door, fitting of the control unit and control devices excluding flush-mounted devices. Instructions are included according paragraph 9.3.

11. Delivery and installation on site

11.1 Scope of delivery

Delivery of cable material, all distribution boxes and cable glands, including those for connecting the control unit.

Laying of cables and installation of distribution boxes with connection to the control unit according to the diagram, installation of flush-mounted elements.

11.2 Scope of work

L’installation des fils conducteurs et pose des boîtes de dérivation y compris le raccordement de l’armoire de commande selon schéma ainsi que la pose des éléments encastrés.

12. Commissioning and handover

12.1 Putting in operation

The system may only be energized in the presence of our installer.

12.2 Handover of object

Checking the connections; adjustment and commissioning together with the on-site electrician; in-struction of the operating personnel and final handover of the system.
